Terms and Conditions
1. Acceptance of Terms
By accessing and using POZ (Point of Sale) software provided by Axioniz, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Custom and Tailored Service
POZ is a custom and tailored solution designed specifically for each restaurant client. We understand that every restaurant has unique needs, operational requirements, and business processes. Our service is not a one-size-fits-all solution but rather a bespoke system crafted to meet your specific requirements.
3. Feature Development and Customization
All features implemented in POZ are developed based on client requests and requirements. We reserve the right to add, modify, or remove features as requested by our clients. Feature changes may be subject to additional development costs and timeline considerations. We will provide reasonable notice of any changes that may affect your current operations.
4. Prohibited Use and Electronic Sales Suppression
CRITICAL: The Software provided by Axioniz may not be used for any unlawful purpose, including but not limited to electronic sales suppression (ESS) or deliberate alteration, deletion, or concealment of sales records with the intent to evade tax. Axioniz expressly prohibits and disclaims any such misuse.
Order Deletion and Record-Keeping: Some features provided, including order edits or deletions, are solely for operational flexibility (e.g., cancelled or incorrect orders). Axioniz is not responsible for how these features are used. Clients are solely responsible for maintaining accurate records and complying with applicable tax, financial reporting, and regulatory obligations.
5. Client Responsibility and Liability
Important: Axioniz and POZ do not take any responsibility for misuse of the software or its use for illegal activities. Clients are solely responsible for:
- Ensuring compliance with all applicable laws and regulations, including tax and financial reporting requirements
- Proper and lawful use of all features, including order edits and deletions
- Maintaining accurate business records in compliance with HMRC and other regulatory authorities
- Protecting customer data and privacy in accordance with applicable data protection laws
- Any consequences arising from misuse, including penalties or legal enforcement actions
- Consulting with their own professional advisors for tax, accounting, and legal compliance
6. Indemnity and Hold Harmless
Indemnity Clause: The Client shall indemnify, hold harmless, and defend Axioniz and its affiliates against any claims, penalties, fines, or damages (including legal costs) arising from the Client's use or misuse of the Software, including any non-compliance with tax regulations, data protection laws, or other legal obligations.
The Client agrees to indemnify and hold harmless Axioniz, its employees, and affiliates from any claim, liability, loss, or damage arising out of the Client's misuse of the software, including failure to comply with tax, accounting, data protection, or other regulatory obligations.
7. Data Control and Privacy
Data Control: Control of all data entered into the POZ system remains exclusively with the client. Axioniz does not monitor, modify, or delete business records unless specifically instructed by the client for technical support purposes.
Data Retention: The Client exclusively controls all data entered into the Software. Axioniz is not responsible for storing, retaining, or ensuring the legal adequacy of any business records or historical data. The Client is responsible for ensuring data retention in compliance with applicable law and regulations.
We implement appropriate security measures to protect your data, but you are responsible for backing up your data and ensuring its security.
8. Server Environment and Infrastructure
Each client operates on an isolated server environment to ensure data security and system integrity. Our role is limited to:
- Maintaining server infrastructure and uptime
- Keeping the application running and accessible
- Providing technical support for system-related issues
- Implementing security updates and patches
We do not access, monitor, or interfere with your business operations or data unless specifically requested for technical support purposes.
9. Legal Advice Disclaimer
Important: Axioniz does not provide legal, tax, or accounting advice. Clients must consult their own professional advisors to ensure compliance with applicable laws, including tax regulations, data protection requirements, and business record-keeping obligations.
Axioniz does not provide tax, accounting, or legal compliance services. Clients are responsible for consulting with their own professional advisors to ensure proper use of the software in accordance with applicable regulations.
10. Service Availability
While we strive to maintain high service availability, we cannot guarantee 100% uptime. We will make reasonable efforts to minimize downtime and provide advance notice of scheduled maintenance when possible. We are not liable for any business losses resulting from service interruptions.
11. Payment Terms
Payment terms will be specified in your individual service agreement. Late payments may result in service suspension. All fees are non-refundable unless otherwise specified in your service agreement.
12. Intellectual Property
The POZ software and all related intellectual property remain the property of Axioniz. You are granted a license to use the software in accordance with these terms and your service agreement. You may not reverse engineer, copy, or distribute the software without written permission.
13. Termination
Either party may terminate the service agreement with appropriate notice as specified in your individual contract. Upon termination, you will have a reasonable period to export your data. We will not retain your data after the termination period unless legally required.
14. Limitation of Liability
To the maximum extent permitted by law, Axioniz excludes liability for indirect, incidental, special, consequential, or punitive damages, including loss of profits, sales, data, or business opportunities, arising from use, misuse, or inability to use the Software.
We shall not be liable for any business losses resulting from service interruptions, data loss, or any consequences arising from the client's use or misuse of the software features.
15. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to Terms
We reserve the right to modify these terms at any time. We will provide at least 30 days' notice for material changes unless prohibited by law. Continued use of the service after changes constitutes acceptance of the new terms.

These terms and conditions are effective as of the date of your acceptance and will remain in effect until terminated in accordance with the provisions herein.
